TERMS AND CONDITIONS OF COMMISSIONING AND PHOTOGRAPHY FROM Product Photography Dhaka (PPD).

1. Terms and Definitions:
  • Images include all kinds of media, like photos, digital scans, artwork, designs, paintings, or any other creative items used for reproduction.
  • Reproduction means publishing or copying an image, fully or partially, whether original or edited. This includes printing, photography, illustrations, layouts, and many more.
  • The Client refers to the individual or organization named on the invoice, regardless of whether the Client is acting on behalf of a third party.
  • Product Photography Dhaka (PPD) administers the licensing of all images and operates as a professional photography and retouching service provider in Bangladesh.
  • These terms and conditions represent the entire agreement between Product Photography Dhaka (PPD) and the Client. Any modifications or exceptions are valid only when agreed upon in writing and in advance.
2. Use and Reproduction:
  • License Activation: The license to use the images becomes active only after full payment of the invoice is received. Images cannot be used until payment, including any late charges, is fully cleared. If images are used before payment, Product Photography Dhaka (PPD) reserves the right to charge 50% of the original invoice amount (excluding expenses).
  • Conditional Permission: Permission to use images may be granted before payment, but this will be revoked immediately if payment is not made within the specified timeframe on the invoice.
  • Image Delivery: Completed images will be provided through the Product Photography Dhaka (PPD) client portal. This portal is meant for delivering completed images after a project and is not an image storage library. Images will be removed from the portal one month after delivery.
3. Booking and Cancellation:
  • Booking Confirmation: Once Product Photography Dhaka (PPD) confirms a booking for a specific time and date, we reserve that slot exclusively for you for the shoot and will not take on any other work during that time.
  • Cancellation Policy: If a confirmed booking is canceled, a cancellation fee will apply as follows:
    • Cancelation before 7 business days of the shoot date: 30% will be charged on advance value.
    • Cancelation less than 7 business days before the shoot date: 50% will be charged on advance value.
    • Cancelation less than 03 business days before the shoot date: 75% will be charged on advance value.
  • Additionally, any expenses already incurred for the project will be billed to the client.
  • Photography Brief: Work will begin only after mutual agreement on a written or verbal brief provided by the client. If the brief is followed as agreed and the client later requests changes or rejects the images, any re-shoots will be chargeable. Be sure to clearly communicate your specific instructions for photographing your products to avoid any misunderstandings.
4. Payment Terms:
  • Payment Terms: Our standard payment terms are as follows: You must pay 50% in advance at the booking time before the photoshoot and 50% after the photoshoot. For new clients, Product Photography Dhaka (PPD) reserves the right to request full payment before delivering the final images.
  • Late Payments: If payment is not made within the agreed timeframe, Product Photography Dhaka (PPD) may cancel any agreement, claim damages, or charge statutory interest for late payments.
  • Administrative Fees: Generally, the advance amount is non-refundable. An administrative fee of at least 20% of the advance value will be charged. The non-refundable fee will be applied to each account reminder, invoice, or communication.
  • Applicable Taxes: All prices are subject to VAT as per the prevailing rates.
5. Making Payment:

At Product Photography Dhaka (PPD), our payment terms are set to 30 days unless otherwise agreed upon in writing. For new clients, we may require full payment before delivering the images.

We prefer payment bank transfer (BACS); bank details will be provided on the invoice. Cheque payments are also accepted and should be made payable to " Product Photography Dhaka."

Please note that proof of postage for cheque payments does not guarantee receipt. We recommend using a payment method that provides proof of delivery.

6. Liability and Indemnity:
  • Liability: While Product Photography Dhaka (PPD) takes great care in its services, we are not responsible for any loss or damage experienced by the client or third parties from the use or reproduction of any images provided.
  • Client Responsibility: The client agrees to take full responsibility for ensuring proper reproduction rights for any images supplied. Product Photography Dhaka (PPD) is not liable for claims, damages, or costs arising from unauthorized use.
  • Insurance for Products: Product Photography Dhaka (PPD) does not provide insurance for client products while they are at our studio. Clients are advised to arrange their insurance if needed.
  • Transit Insurance: Products sent to or from our studio should be insured by the courier handling the delivery. It is the client's responsibility to ensure adequate coverage. Product Photography Dhaka (PPD) is not liable for any loss or damage during transit and delays caused by unforeseen circumstances (e.g., equipment failure, weather, etc.).
  • Product Photography Dhaka (PPD) is not responsible for any damage to products during the shoot unless caused by gross negligence.
  • Product Photography Dhaka (PPD) reserves the right to update these terms at any time. Clients will be notified of significant changes.
7. Applicable Law:
  • Legal Jurisdiction: This agreement is governed by BANGLADESHI Law, and any disputes will be handled under the jurisdiction of BANGLADESH courts.
  • Changes to Terms: Any changes to these terms and conditions must be agreed upon in writing by both Product Photography Dhaka (PPD) and the client to be valid.
  • Email Agreements: Email communications are legally binding unless the client explicitly requests to use hardcopy documents for all agreements and contracts.
8.Intellectual Property

All images produced by Product Photography Dhaka (PPD) are the intellectual property of the company until full payment is received.

Upon full payment, the client is granted a license to use the images for [specific purposes, e.g., e-commerce, marketing, etc.].

The client may not resell, redistribute, or claim ownership of the images without prior written consent.

Usage License: Images are licensed for use for 12 months. Continued use after this period may incur additional charges.

Image Storage: Final images are stored for months from the delivery date. After this time, Product Photography Dhaka (PPD) may permanently delete all image files.

9. Client Confidentiality:

Product Photography Dhaka values your privacy and ensures that all information shared with us for photography projects remains confidential. We will not disclose or use this information for any purpose other than what is necessary to complete your project successfully.

10. Revisions and Approval:

Rounds of revisions are included in the base price. If the client changed actual instructions and ask revision then client will pay 50% payment on base price.

Final approval of images by the client releases Product Photography Dhaka (PPD) from further liability.

11. Liability and Amendments:

Product Photography Dhaka (PPD) is not liable for delays caused by unforeseen circumstances (e.g., equipment failure, weather, etc.).

We are not responsible for any damage to products during the shoot unless caused by gross negligence.

Product Photography Dhaka (PPD) reserves the right to update these terms at any time. Clients will be notified of significant changes.

12. Product Delivery and Returns Policy:
Product Delivery to Studio

Client Responsibility: Clients are responsible for delivering products to our studio at their own cost.

Shipping Instructions: Products must be securely packaged and shipped to the following address:(Jahangir Tower, Building M5 (1st Floor), Mirpur-14 Dhaka 1206).

Tracking and Insurance: We recommend using a tracked and insured shipping method to ensure the safe arrival of products. Product Photography Dhaka (PPD) is not liable for any loss or damage during transit to our studio.

Product Returns:

Client Responsibility: Clients are responsible for arranging and covering the cost of returning products after the photoshoot.

Return Timeline:

Products will be held at our studio for [30] business days after the photoshoot. Clients must provide return shipping instructions within this period.

Unreturned Products: If return instructions are not provided within [30] business days, we reserve the right to dispose of or donate the products. Damaged or Lost Products:

During Transit to Studio: Product Photography Dhaka (PPD) is not liable for any damage or loss that occurs during transit to our studio. Clients are encouraged to insure their shipments.

Shipping Costs for Deliverables:

Digital Deliverables: Final images will be delivered digitally via [specify method, e.g., email, cloud storage, etc.] at no additional cost to the client.

Physical Deliverables: If physical copies of images (e.g., prints, USBs) are requested, the client will bear the cost of shipping.

13.Rush Services:

Rush Fee: Clients requesting expedited services (e.g., delivery within 24-48 hours) will incur a rush fee of 30% of the total project cost.

Availability: Rush services are subject to availability and must be confirmed in writing before the project begins.

14.Image Usage Rights:

Exclusive Rights: Clients can purchase exclusive rights to the images for an additional fee. Without this, Product Photography Dhaka (PPD) retains the right to use the images for promotional purposes (e.g., portfolio, social media, website).

Non-Exclusive License: By default, clients receive a non-exclusive license to use the images for [specific purposes, e.g., e-commerce, marketing, etc.].

15.Storage and Archiving:

Temporary Storage: We will store raw and edited images for 30 days after delivery. After this period, files may be permanently deleted.

Extended Storage: Clients can request extended storage for an additional fee of 250TK per month.

16.Cancellation by Photographer:

Photographer’s Right to Cancel: We reserve the right to cancel or reschedule a photoshoot due to unforeseen circumstances (e.g., illness, equipment failure, etc.). In such cases, clients will receive a full refund or the option to reschedule at no additional cost.

17.Client-Provided Props or Styling:

Responsibility: If clients provide props, backgrounds, or styling materials, they are responsible for ensuring these items are delivered on time and in good condition. Liability: We are not liable for any damage to client-provided items during the photoshoot unless caused by gross negligence.

18.Weather-Dependent Shoots

Outdoor Shoots: For outdoor photoshoots, clients must provide a backup date in case of inclement weather. Additional fees may apply for rescheduling.

Weather Liability: We are not liable for delays or cancellations due to weather conditions.

19.Third-Party Involvement

Third-Party Services: If third-party services (e.g., models, stylists, makeup artists) are required, the client is responsible for covering their fees unless otherwise agreed in writing. Coordination: We will coordinate with third-party providers, but the client is ultimately responsible for their performance and deliverables.
